API Terms of Use
By using the Arrow Electronics, Inc. (“Arrow”) Application Programming Interface (“API”), you and your company or the parties you represent (“you” or “company”) agree to the standard Arrow Terms of Use (available here: https://www.arrow.com/en/legal/terms-of-use) and Arrow's API Terms of Use herein. To the extent there is a conflict or inconsistency between the standard Arrow Terms of Use and the API Terms of Use, the API Terms of Use control. You represent and warrant that you have full power and authority to agree to these terms of use and are authorized, on behalf of your organization if required, to do so. The API is made available by Arrow to enable you to access commercially valuable Arrow data and present it to your end users in ways that complement and enhance Arrow’s products and services (“Permitted Purposes”). Any use of the API that is competitive to or inconsistent with Arrow’s own products and services is unpermitted. Arrow reserves the right to review and evaluate all API uses and users and determine whether specific uses are Permitted Purposes or not in Arrow’s sole discretion. Arrow’s failure to immediately terminate any user of the API for a non-permitted purpose is not a waiver and Arrow reserves the right to request information related to your use of the API and your compliance with these terms. Failure to timely and completely respond to such request may result in termination. Additionally, you hereby agree as follows:
- You will not maintain any cached data retrieved using the Arrow APIs for longer than forty-eight (48) hours.
- You will not use the Arrow APIs for purposes of bulk data capture.
- You will not use the Arrow APIs in any unsuitable applications, which include but are not limited to applications that: do not have as their principal purpose advertising and marketing the Arrow content and driving sales of Arrow products and services; promote or contain sexually explicit materials; contain hate/violent/offensive content or any other material deemed unsuitable or harmful to the reputation of Arrow; promote discrimination, or employ discriminatory practices, based on race, sex, religion, nationality, disability, sexual orientation, or age; promote or undertake illegal activities or otherwise violate applicable laws, ordinances, rules, regulations, orders, and other requirements of any governmental authority including laws governing marketing email; or infringe on our or any other person’s or entity’s intellectual property, privacy, data protection or other rights.
- You will not host or provide to any third-party any material retrieved via the Arrow APIs (including datasheets or images).
- You will not sell the information, nor any derivative data, retrieved from the Arrow APIs.
- You will not share your login & apikey outside of your company and, to the extent that a login & apikey is specific to you individually, you will not share it with any other person.
- You will not assign or transfer your login & apikey and/or Arrow SSO credentials under any circumstances.
- You will not aggregate the data from the Arrow APIs into other publicly facing/commercial APIs or data services.
- You will clearly label or indicate Arrow as the source, originator and/or owner of any information from or derived from the Arrow APIs.
- You will not scrape, download, post or transmit data from any Arrow site or API.
- You will not share any technical aspects or documentation of the APIs with any third-party and you will not reverse engineer or attempt to extract the source code from any API or any related software.
- You will not threaten the integrity, performance or reliability of the APIs, including but not limited to performance/stress tests or use the APIs in any manner attempting to destabilize the security of the APIs.
- If you operate a website that incorporates Arrow APIs, calls to the APIs must include the end user's IP address. Non-website use of the Arrow APIs must include a unique user identifier. By sending the end-users IP address you affirm you have all necessary consents and are legally allowed to transfer the IP address or any other personally identifiable information (“PII”) to Arrow.
- You are solely responsible for, and Arrow has no liability for, the development, operation, or maintenance of your application or for any materials contained therein. You agree that you will not: (i) send or initiate any email or other electronic messages that in any way suggest or imply or mislead or are likely to mislead a recipient into believing that Arrow is the sender or sponsor of such email or electronic message or procured you or induced you to send such email or electronic message; or (ii) forward, redistribute or otherwise repurpose any email or other electronic messages that we send our customers.
- You irrevocably grant Arrow a perpetual, worldwide license to use your company or product name in the promotion of Arrow APIs, and affirm you have the authority to grant this license.
- In the use of the API’s, Arrow's website anything related thereto, you agree to comply with any and all applicable laws and regulations, including those related to bribery, corruption, OFAC sanctions and intellectual property rights, including the Digital Millennium Copywrite Act. You and your company agree you will abide by all applicable data privacy laws, including the General Data Protection Regulation and the California Consumer Privacy Act where transferring any PII to, or receiving any PII from, Arrow.
- You understand the API may always not be available due to a variety of factors, within or outside Arrow's control, including but not limited to equipment malfunctions, system updates or acts of god.
- Arrow reserves the right to modify these terms at any time in our sole discretion.
Failure to comply may result in revocation of access and any other remedy available at law or in equity.
